Single-User Digital Content License Agreement
The Single-User Digital Content License Agreement ("Agreement") is made and entered into by and between the customer (“Licensee”), and speceducate ("Licensor").
WHEREAS, Licensor owns all rights, titles, and interests in certain digital content, including but not limited to all digital content created for any Learning Activity Pocket Kits (including standalone digital content and supplemental digital content) ("Digital Content");
WHEREAS, Licensee desires to use the Digital Content for its own personal purpose and Licensor is willing to grant a license for such use, subject to the terms and conditions of this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
1. Grant of License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, and limited license to use the Digital Content solely for Licensee's own personal use
2. Restrictions. Licensee agrees that it will not:
a. Sell, sublicense, assign, transfer, distribute, or otherwise exploit the Digital Content in any way, including but not limited to, making the Digital Content available to others for use, download, or distribution;
b. Modify, alter, adapt, or create derivative works based on the Digital Content;
c. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Digital Content;
d. Use the Digital Content for any unlawful purpose or in violation of any applicable laws or regulations; or
e. Use the Digital Content in any manner that could damage, disable, overburden, or impair any Licensor's server or network.
3. Ownership. Licensor retains all rights, titles, and interests in and to the Digital Content, including all intellectual property rights.
4. Payment. Licensee shall pay Licensor the license fee (the cost of the product) as agreed upon between the parties.
5. Term and Termination. This Agreement shall commence on the date when the Licensee purchases the digital download and shall continue until terminated by either party. Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, Licensee shall immediately cease all use of the Digital Content.
6. Warranty Disclaimer. Licensor makes no representations or warranties of any kind, whether express or implied, with respect to the Digital Content, including but not limited to, any warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability. In no event shall Licensor be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with this Agreement or the use of the Digital Content.
8. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the province where Licensor is located.
9. Entire Agreement. This Agreement contains the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
10. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
